1. Introduction and Acceptance of Terms 1.1 Binding Agreement Welcome to LeafLove (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) dictate your access to and use of the LeafLove website, mobile applications, and any related services (collectively, the “Service”). By registering an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to all the terms and conditions set forth in this agreement, you must immediately cease using the Service.
1.2 Modifications to Terms We reserve the right to amend, alter, or update these Terms at any time without prior notice. Any modifications will be effective immediately upon posting the revised Terms on the Service. The date of the most recent revision will be indicated at the top of this document. Your continued use of the Service following the posting of any changes constitutes your acceptance of such modifications. You are expected to review this page periodically to ensure your understanding of any changes.
1.3 Electronic Communications By accessing the Service, you consent to receive communications from us electronically. We will communicate with you via email or by posting notices on the Service. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
2. Eligibility and Account Registration 2.1 Age Requirements The Service is strictly intended for individuals who are at least twenty-one (21) years of age or the age of majority in their respective jurisdiction, whichever is higher. By creating an account, you represent and warrant that you meet these age requirements and have the legal capacity to enter into a binding contract.
2.2 Account Creation and Accuracy To access certain features, including premium matchmaking and private networking groups, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, false, or misleading.
2.3 Account Security You are entirely responsible for maintaining the confidentiality of your account credentials, including your password. You agree to notify us immediately of any unauthorised use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to protect your password or account information. You may not share your account or password with anyone, nor may you use anyone else’s account at any time.
2.4 Identity Verification While we do not routinely background check our members, we reserve the right to verify your identity and account details at any time. We may ask you to provide supplementary documentation to confirm your age, identity, or billing details. Failure to comply with verification requests may result in the immediate suspension or termination of your account.
3. Subscription Services and Billing 3.1 Premium Memberships LeafLove offers various subscription tiers, including free access and premium, paid memberships (e.g., the “Founding Member” tier). Premium memberships grant access to advanced features, including but not limited to unlimited messaging, proximity matching, and private groups. The specific features, pricing, and billing cycles applicable to your subscription will be presented to you at the time of purchase.
3.2 Recurring Billing and Authorisation By providing a payment method, you authorise us (or our designated third-party payment processors) to charge the applicable subscription fees on a recurring basis.
Monthly Cycles: If you select a monthly subscription, you will be billed immediately upon sign-up and automatically on the same day each subsequent month.
Payment Methods: You must keep a valid payment method on file. If a payment is not successfully settled due to expiration, insufficient funds, or otherwise, you remain responsible for any uncollected amounts.
Third-Party Processors: We use secure third-party payment gateways (such as Stripe) to process transactions. We do not store your full credit card details on our local servers.
3.3 Cancellation Policy You may cancel your premium subscription at any time through your account settings dashboard.
Effect of Cancellation: If you cancel your subscription, you will continue to have access to the premium features until the end of your current billing cycle.
No Prorated Refunds: We do not provide refunds or credits for any partial-month subscription periods or unused services. Upon the conclusion of your billing cycle, your account will automatically downgrade to the free tier, and you will lose access to premium features.
3.4 Price Changes We reserve the right to adjust pricing for our service or any components thereof in any manner and at any time. Any price changes to your specific subscription will take effect following an email notice to you, allowing you time to cancel before the new rate is charged. Users who secure a “lifetime” or “locked” rate will maintain that specific rate for as long as their subscription remains continuously active and in good standing.
3.5 Chargebacks and Payment Disputes If you initiate a chargeback or otherwise reverse a payment made with your designated payment method, we reserve the right to immediately terminate your account. We view chargebacks as a breach of these Terms. If you have an issue with a billing charge, you must contact our support team to resolve the issue before contacting your bank.
4. User Conduct and Community Guidelines 4.1 Acceptable Use LeafLove is a community designed for networking, dating, and socialising. You agree to use the Service in a manner consistent with all applicable local, state, national, and international laws and regulations. You must treat other members with respect and courtesy.
4.2 Prohibited Activities You are strictly prohibited from engaging in any of the following activities on the Service:
Illegal Acts: Using the platform to plan, encourage, or execute any illegal activities.
Harassment and Abuse: Bullying, stalking, intimidating, assaulting, harassing, or defaming any person.
Hate Speech: Posting content that promotes violence, threatens, or discriminates against individuals or groups based on race, ethnicity, religion, disability, gender, age, or sexual orientation.
Explicit Content: Uploading, sharing, or transmitting pornographic, sexually explicit, or overly graphic material.
Spam and Solicitation: Sending unsolicited advertising, promotional materials, junk mail, spam, chain letters, or any other form of solicitation.
Impersonation: Creating a false identity, impersonating another person or entity, or misrepresenting your affiliation with a person or entity.
Malware and Interference: Introducing viruses, trojans, worms, logic bombs, or other material that is malicious or technologically harmful. Attempting to gain unauthorised access to the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service.
Data Mining and Scraping: Using any robot, spider, site search/retrieval application, or other manual or automatic device to retrieve, index, “scrape,” “data mine,” or in any way reproduce or circumvent the navigational structure or presentation of the Service.
4.3 Interactions with Other Members You are solely responsible for your interactions with other members.
Assumption of Risk: You understand that we do not conduct criminal background checks on our users or otherwise inquire into the background of our members. We make no representations or warranties as to the conduct of members.
Safety Precautions: You agree to take reasonable precautions in all interactions with other members, particularly if you decide to communicate off the platform or meet in person.
Dispute Resolution: We reserve the right, but have no obligation, to monitor disputes between you and other members. We bear no liability for any interactions or disputes.
4.4 Location-Based Features The Service includes a proximity finder and other location-based features to connect you with nearby members.
Consent to Tracking: By enabling these features, you consent to the collection and use of your location data.
Accuracy: We do not guarantee the accuracy of location data.
Privacy: You may disable location matching at any time through your device settings or account preferences, though this will limit the functionality of the proximity finder.
5. User-Generated Content (UGC) 5.1 Definition of Content “Content” refers to any text, photographs, videos, audio, messages, profile details, comments, and other materials you upload, post, transmit, or otherwise make available via the Service.
5.2 Ownership and Licence You retain full ownership of the rights to the Content you upload. However, by posting Content to LeafLove, you grant us a worldwide, non-exclusive, royalty-free, fully paid, transferable, sub-licensable licence to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such Content in connection with operating and providing the Service. This includes displaying your avatar and profile details in public lobbies and search results.
5.3 User Warranties Regarding Content By uploading Content, you represent and warrant that:
You own the Content or have the necessary licences, rights, consents, and permissions to grant the rights described above.
The Content does not infringe, misappropriate, or violate a third party’s patent, copyright, trademark, trade secret, moral rights, or other intellectual property rights, or rights of publicity or privacy.
The Content complies with our Acceptable Use policies outlined in Section 4.
5.4 Monitoring and Removal of Content We are not obligated to monitor User-Generated Content, but we reserve the right to do so. We may, at our sole discretion, remove, edit, or block any Content at any time and for any reason, without notice. We take no responsibility and assume no liability for any Content posted by you or any third party.
6. Intellectual Property Rights 6.1 LeafLove Intellectual Property All rights, title, and interest in and to the Service (excluding User-Generated Content), including but not limited to the software, algorithms, databases, design, text, graphics, branding, icons, and badges, are and will remain the exclusive property of LeafLove and its licensors.
6.2 Restrictions on Use You may not:
Copy, modify, create derivative works based upon, distribute, sell, transfer, publicly display, publicly perform, or transmit any part of the Service.
Reverse engineer, decompile, or disassemble the software used to provide the Service.
Remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notices incorporated in or accompanying the Service.
6.3 Trademarks The LeafLove name, logo, and any related product or service names, logos, and slogans are trademarks of the Company. You may not use these trademarks without our prior written permission.
7. Digital Millennium Copyright Act (DMCA) Policy 7.1 Reporting Infringement We respect the intellectual property rights of others. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible via the Service, please notify our copyright agent as set forth in the DMCA. For your complaint to be valid, you must provide the following information in writing:
An electronic or physical signature of a person authorised to act on behalf of the copyright owner.
Identification of the copyrighted work that you claim has been infringed.
Identification of the material that is claimed to be infringing and where it is located on the Service.
Information reasonably sufficient to permit us to contact you, such as your address, telephone number, and email address.
A statement that you have a good faith belief that use of the material in the manner complained of is not authorised by the copyright owner, its agent, or law.
A statement, made under penalty of perjury, that the above information is accurate, and that you are the copyright owner or are authorised to act on behalf of the owner.
7.2 Counter-Notices If you believe that your Content was removed by mistake or misidentification, you may file a counter-notice. Your counter-notice must include:
Your physical or electronic signature.
Identification of the material that has been removed and the location at which the material appeared before it was removed.
A statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification.
Your name, address, and telephone number, and a statement that you consent to the jurisdiction of the federal court in your district.
8. Third-Party Links and Integrations The Service may contain links to third-party websites, advertisers, services, or special offers that are not owned or controlled by LeafLove. We do not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services. If you access a third-party website from the Service, you do so at your own risk, and you understand that these Terms and our Privacy Policy do not apply to your use of such sites. You expressly relieve us from any and all liability arising from your use of any third-party website, service, or content.
9. Termination and Suspension 9.1 Voluntary Termination by User You may terminate this agreement at any time by deleting your account through your account settings and ceasing all use of the Service. As noted in Section 3, deleting your account will not automatically result in a refund for any prepaid subscription fees.
9.2 Involuntary Termination by Company We may suspend or terminate your account and your access to the Service at any time, for any reason, and without advance notice. Grounds for termination include, but are not limited to:
Violations of these Terms or any referenced policies.
Non-payment of subscription fees.
Extended periods of inactivity.
Requests by law enforcement or other government agencies.
Engagement in fraudulent or illegal activities.
9.3 Effects of Termination Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
10. Disclaimers and Limitations of Liability 10.1 “As Is” Provision THE SERVICE AND ALL MATERIALS AND CONTENT AVAILABLE THROUGH THE SERVICE ARE PROVIDED “AS IS” AND ON AN “AS AVAILABLE” BASIS. WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, RELATING TO THE SERVICE AND ALL MATERIALS AND CONTENT AVAILABLE THROUGH THE SERVICE, INCLUDING: (A) ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, OR NON-INFRINGEMENT; AND (B) ANY WARRANTY ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS, AND WE DO NOT WARRANT THAT ANY OF THOSE ISSUES WILL BE CORRECTED.
10.2 Limitation of Liability TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL LEAFLOVE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.
ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES.
ANY CONTENT OBTAINED FROM THE SERVICE.
UNAUTHORISED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF ONE HUNDRED US DOLLARS ($100.00) OR THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10.3 Indemnification You agree to defend, indemnify, and hold harmless LeafLove and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of:
Your use and access of the Service.
A breach of these Terms.
Your violation of any third-party right, including without limitation any right of privacy or intellectual property rights.
Your User-Generated Content causing damage to a third party.
11. Dispute Resolution and Governing Law 11.1 Governing Law These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
11.2 Arbitration Agreement Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration rather than in court. The arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.
11.3 Class Action Waiver You and LeafLove agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, we each waive any right to a jury trial.
12. Miscellaneous Provisions 12.1 Severability If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.
12.2 Waiver Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
12.3 Assignment You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and of no effect. We may assign or transfer these Terms, at our sole discretion, without restriction.
12.4 Force Majeure We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including acts of God, natural disasters, terrorism, riots, war, strikes, cyber-attacks, or interruption of telecommunications or internet services.
